TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Compass platform, LSI-hosted events, partnering tools, data products, AI tools, and related services (collectively, the “Service”) operated by Life Science Intelligence, Inc. (“LSI,” “we,” “us,” or “our”).

By registering, purchasing, submitting materials, participating in events, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. DESCRIPTION OF THE SERVICE

LSI provides a medtech-focused research, intelligence, and analytics platform offering proprietary databases, company profiles, event content, partnering tools, and AI-powered insights for operators, investors, and strategic executives.

2. ELIGIBILITY AND ACCOUNT RESPONSIBILITY

You must be at least 18 years old to use the Service. You are responsible for safeguarding your account credentials and all activity conducted under your account.

3. PERMITTED AND PROHIBITED USE

You may use the Service solely for lawful internal business purposes. You may not:

• Copy, scrape, resell, sublicense, or redistribute the Service or its content
• Use the Service to build or support competing products
• Reverse engineer, decompile, or extract datasets, models, or source code
• Use automated systems without written authorization
• Remove proprietary notices or attribution

4. INTELLECTUAL PROPERTY OWNERSHIP

The Service and all related software, databases, content, analytics, AI outputs, and materials are owned exclusively by LSI and protected by intellectual property laws. No rights are granted except as expressly stated.

5. DATA OWNERSHIP AND RIGHTS

5.1 Collected Data

You acknowledge and agree that all data collected, generated, observed, inferred, or derived from your use of the Service or participation in any LSI activity (“Collected Data”) is and shall remain the sole and exclusive property of LSI.

Collected Data includes, without limitation:

• Account and profile information
• User inputs, submissions, uploads, and communications
• Usage and behavioral data
• Event participation and engagement data
• Partnering, networking, and scheduling interactions
• Transcripts, recordings, slides, images, and metadata
• AI prompts, interactions, and outputs (to the extent permitted by law)

5.2 License to Use Collected Data

You grant LSI a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, and sublicensable license to use Collected Data for any lawful business purpose, including analytics, AI training, product development, benchmarking, and commercialization.

This license survives account termination and discontinuation of the Service.

5.3 Derived, Aggregated, and Anonymized Data

LSI exclusively owns all:

• Aggregated, anonymized, or de-identified datasets
• Derived insights, analytics, benchmarks, models, and trends
• AI-generated outputs trained on or informed by Collected Data

You irrevocably assign any rights you may have in such data to LSI.

5.4 No Compensation; No Deletion Obligation

You acknowledge that:

• You are not entitled to compensation, royalties, or attribution
• LSI has no obligation to return, delete, or destroy Collected Data
• Data ownership and usage rights survive indefinitely

6. EVENT PARTICIPATION AND SUBMISSIONS

By participating in any LSI event or submitting materials to LSI, you agree that LSI may record, transcribe, analyze, and commercialize event content.

Companies and individuals that submit pitch decks, executive summaries, company profiles, questionnaires, presentations, or other self-reported materials (“Submitted Materials”) acknowledge that:

• Submitted Materials constitute Collected Data
• LSI may ingest, normalize, integrate, and incorporate Submitted Materials into its platforms, databases, systems, analytics, and AI models
• LSI may create and commercialize derivative insights and outputs
• LSI has no obligation to return or delete Submitted Materials
• No ownership, approval, attribution, or compensation rights are retained
• These rights survive the event and account termination

7. DISCLAIMERS

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

LSI DISCLAIMS ALL WARRANTIES, INCLUDING ACCURACY, COMPLETENESS, FITNESS FOR PURPOSE, AND NON-INFRINGEMENT.
AI-generated outputs may contain errors and must be independently verified.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• LSI shall not be liable for indirect or consequential damages
• Total liability shall not exceed the greater of $100 or fees paid in the prior twelve (12) months

9. INDEMNIFICATION

You agree to indemnify and hold harmless LSI from claims arising from your use of the Service or violation of these Terms.

10. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of California. Disputes shall be resolved by binding arbitration in Orange County, California. Class actions are waived.

11. MODIFICATIONS

LSI may update these Terms at any time. Continued use constitutes acceptance.

13. ACKNOWLEDGMENT

You acknowledge that LSI’s enterprise value derives in part from its proprietary data assets and that no user acquires ownership or reversionary rights in such assets.
